Company formations

As a result of our investment in technology we are now able to form companies on-line within a very short space of time.  This is an ideal service for those wanting to start up a new business under the umbrella of a limited company or for existing companies wanting to form a new subsidiary or holding company as part of a restructuring or reorganisation.

It is possible to use standard articles of association, but these will not be tailored to your particular requirements.  The articles of association are a contract between the company and its shareholders.  As such, any breaches by shareholders are only enforceable by the company and little protection is provided by the law or in standard articles for minority shareholders.  Holding a minority of shares in a company will, of itself, give no rights to be a director or an employee or to receive a dividend.

If a company has several shareholders then it is likely to be similar to a partnership where each shareholder requires individual protection for his rights.  In such cases, standard articles will not be appropriate and we would advise that articles be tailored to your particular requirements.

Our fees are competitive and include bound copies of the articles of association, certificate of incorporation and company books written up-to-date.
